01. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you (personally or on behalf of an entity, "User", "you") and SubsFolio ("we", "us", "our"). By registering for, accessing, or using the SubsFolio platform, website, web application, APIs, or browser extensions (collectively, the "Platform"), you agree to be bound by these Terms and our Privacy Policy.
If you are using the Platform on behalf of an organization, company, or team, you represent and warrant that you possess the necessary legal authority to bind that entity to these Terms.
02. Description of Services
SubsFolio provides a cloud-based software subscription management and optimization platform. Key features include:
- Subscription cataloging, categorization, and owner assignments.
- Spend analytics, monthly projections, and annual budgeting breakdowns.
- Automated renewal email alerts sent ahead of recurring charges.
- Duplicate tool and overlapping service detection.
- Multi-user team workspaces with role-based access controls (Admin, Member, Viewer).
- Bulk CSV data import and export tools.
03. Account Registration & Workspace Security
To access most features, you must register for an account. You agree to provide accurate, current, and complete registration information and maintain its accuracy.
- Account Security: You are responsible for safeguarding your login credentials and for all activities occurring under your account.
- Team Workspaces: Workspace Admins are responsible for granting, modifying, or revoking access rights for invited members within their workspace.
- Notification of Breach: You must promptly notify us at contact@subsfolio.com if you suspect any unauthorized access or security breach.
04. Subscription Plans, Billing & Free Trials
SubsFolio offers a Free tier as well as paid Pro and Team subscription tiers:

A. Billing Processing
All payments and recurring subscription charges are processed securely through Stripe, Inc. By subscribing to a paid plan, you authorize SubsFolio to charge your designated payment method on a recurring basis until canceled.
B. 14-Day Free Trial
Paid plans include a 14-day free trial. You may cancel your trial at any time before the 14 days expire without incurring any charges.
05. Cancellations, Downgrades & Refund Policy
You have complete control over your subscription status:
- Cancel Anytime: You can cancel your paid plan directly from your Account / Billing Settings. Upon cancellation, you retain full access to paid features until the conclusion of your current billing cycle.
- Downgrades to Free: After your billing period finishes following a cancellation, your account transitions to the Free plan.
- Refunds: Payments are generally non-refundable once billed. However, if you experienced technical disruptions or billing errors, please contact our support team within 14 days of the charge for review.
06. Acceptable Use Policy
You agree NOT to engage in any of the following prohibited behaviors:
- Attempting to reverse engineer, decompile, or copy the source code or proprietary architecture of SubsFolio.
- Launching automated scrapers, spiders, or bots against our web application or APIs without prior written approval.
- Interfering with, overloading, or disrupting our servers, databases, or network infrastructure.
- Using the Platform for any unlawful purpose, fraud, identity theft, or transmitting malicious code.
07. Intellectual Property & Data Ownership
Your Data Belongs to You: You retain all ownership, rights, and intellectual property in the subscription logs, vendor records, and custom notes you upload or input into SubsFolio.
SubsFolio Property: SubsFolio, its trademarks, logos, UI designs, codebases, algorithms, and documentation are the exclusive intellectual property of SubsFolio and its licensors.
08. Warranties & Service Disclaimers
The Platform is provided on an "AS IS" and "AS AVAILABLE" basis. While we strive for 99.9% uptime, we do not warrant that the Services will be uninterrupted, error-free, or entirely free of minor bugs.
09. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall SubsFolio, its directors, employees, or partners be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business goodwill, arising from your use of or inability to use the Platform.
10. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with applicable laws. Any dispute, controversy, or claim arising out of or relating to these Terms shall be resolved through good-faith mutual negotiation or competent commercial arbitration.
